Use Policy

This Acceptable Use Policy ("AUP") defines what is and is not permitted on FileYield. It is incorporated into the Terms of Service. Violating this AUP is grounds for immediate suspension or termination of your account, removal of listings, and where applicable, referral to law enforcement.

FileYield Inc., a Delaware corporation, operates the Service as a marketplace and brokered outreach platform. We do not host, transfer, or possess the actual data being sold — but we are responsible for the integrity of the marketplace itself.

1. Prohibited Data Types

The following types of data may NOT be listed, sold, traded, or transferred through FileYield under any circumstances. Listing prohibited data is grounds for immediate account termination and may result in legal action.

  • Personal information collected without lawful basis under GDPR, CCPA, or other applicable privacy laws
  • Data obtained through breach, unauthorized access, scraping in violation of terms of service, or any other unlawful means
  • Child sexual abuse material (CSAM), child exploitation imagery, or any material that sexualizes minors
  • Biometric data (fingerprints, facial recognition templates, voiceprints, iris scans, gait data) collected without explicit informed consent from each subject
  • Medical records, protected health information (PHI), or any data covered by HIPAA without a valid HIPAA authorization or business associate agreement chain of custody
  • Financial account credentials, including bank account numbers, credit card numbers, login credentials, or authentication codes
  • Government-issued identification documents (passports, driver licenses, social security numbers, national ID cards, tax IDs) without explicit consent
  • Classified, secret, or national-security data of any government
  • Stolen intellectual property, including copyrighted material, trade secrets, source code, or proprietary databases obtained without authorization
  • Data subject to attorney-client privilege, doctor-patient privilege, or other legally protected privilege without explicit waiver
  • Data subject to a non-disclosure agreement or other contractual confidentiality obligation that prohibits its sale
  • Voting records or voter rolls in jurisdictions where their commercial use is prohibited
  • Any data whose sale, possession, or transfer is illegal in the jurisdiction of the seller, buyer, or FileYield

2. Prohibited Conduct

You may not use the Service to:

  • Engage in any unlawful activity
  • Build or train a system designed to circumvent FileYield’s fees by negotiating off-platform after a connection is made (we call this “leakage” and we will permanently ban accounts that do it)
  • Build a competing data marketplace, broker, or aggregator using data scraped or extracted from FileYield
  • Reverse-engineer, decompile, or otherwise extract the source code, algorithms, or business logic of FileYield
  • Mass-scrape FileYield’s listings, requests, user data, or AI assistant outputs
  • Send unsolicited commercial messages (spam) through any FileYield communication channel
  • Harass, threaten, defame, or stalk any other user
  • Impersonate any person or entity, including another user, FileYield staff, or any company you do not represent
  • Misrepresent the data you list (false volume, false freshness, false provenance, false PII status)
  • Misrepresent the use you intend to put purchased data toward
  • Engage in fraud, money laundering, sanctions evasion, or terrorism financing
  • Use the Service to violate any third party’s privacy, intellectual property, or contractual rights
  • Upload malicious code, viruses, worms, or any software designed to disrupt FileYield or its users
  • Probe, scan, or test the vulnerability of FileYield’s systems without prior written authorization

3. Seller Disclosure Requirements

When you list data on FileYield, you must accurately disclose the following in your listing:

  • PII status: whether the data contains personally identifiable information, and if so, what categories
  • Compliance frameworks the data is subject to (HIPAA, GDPR, CCPA, FERPA, SOX, GLBA, PCI-DSS, etc.)
  • Data freshness and last update date
  • Data provenance: where the data came from and how it was collected
  • Volume: an honest count of records, hours, files, or other relevant unit
  • Consent basis (where personal data is included)
  • Any restrictions on use, including non-compete or exclusivity restrictions you intend to impose

Misrepresentation in any of these areas is a violation of this AUP and may constitute fraud under applicable law.

4. Buyer Use Restrictions

If you purchase data through FileYield, you must:

  • Use the data only as permitted by the license you agreed to with the seller
  • Not resell, sublicense, or redistribute the data unless explicitly permitted
  • Comply with all applicable laws governing your use of the data, including data protection, anti-discrimination, employment, credit, and consumer protection laws
  • Not attempt to re-identify any anonymized or de-identified data unless the seller explicitly permits it
  • Honor all confidentiality and security obligations the seller imposes
  • Delete the data when the license term ends, unless the license permits retention
  • Not use the data to train models or build products in a way that violates the seller’s license terms

5. AI & Outreach Conduct

FileYield operates AI assistants and an outreach network. Special rules apply:

  • Do not attempt to jailbreak, prompt-inject, or otherwise manipulate FileYield’s AI assistants into producing prohibited content
  • Do not use the AI assistants to generate illegal content, malicious code, or content designed to deceive or harm
  • Do not use FileYield’s outreach SMS or calling system to contact persons who have opted out or who have not consented to be contacted
  • Do not use FileYield’s outreach to send messages prohibited by CAN-SPAM, TCPA, CASL, or any equivalent law in the recipient’s jurisdiction

6. Reporting Violations

If you become aware of a listing, user, or activity that violates this AUP, please report it immediately by emailing support@fileyield.com with:

  • A clear description of the violation
  • The URL, listing ID, or user identifier of the violating content
  • Any evidence you can provide
  • Your contact information (so we can follow up if needed)

We review reports promptly. We may not always respond individually but we take every report seriously.

7. Enforcement

FileYield’s response to AUP violations may include any of the following:

  • Removal of the offending listing, request, message, or other content
  • Suspension of the offending account, with or without notice
  • Permanent termination of the offending account
  • Forfeiture of any fees, deposits, or earnings on the platform
  • Reporting to law enforcement, regulators, and relevant trust and safety authorities
  • Legal action, including suits for damages, injunction, and attorneys’ fees
  • Cooperation with affected third parties (data subjects, IP owners, regulators)

FileYield reserves sole discretion to determine what constitutes a violation and what response is appropriate. We may act without prior notice when we believe the violation is severe, ongoing, or creates imminent risk.

8. No Safe Harbor for Bad-Faith Listings

FileYield is not a passive conduit for illegal activity. Sellers who knowingly misrepresent data, list prohibited data, or otherwise act in bad faith are personally liable for the consequences. The marketplace structure does not insulate sellers from legal responsibility for the data they list. FileYield will cooperate with law enforcement and affected parties to identify and pursue bad actors.

9. Changes to This Policy

We may update this AUP from time to time. Material changes will be announced at least 14 days before they take effect. Continued use of the Service after the change is acceptance of the new AUP.
